Capital Structuring Starts With the Case

Why The Right Financing Direction Is Often Clarified During Assessment

Capital structuring should start with the economics of the case, not with an expectation that the client has already selected the perfect financing solution. A serious business objective can be clear even when the most suitable capital route is not.

The Client Does Not Need to Arrive With the Answer

A sponsor may prefer one form of capital because it feels familiar. A company may have received different opinions from advisors, intermediaries or previous contacts. A project may still be at the stage where several possible routes appear reasonable.

None of this means the case is weak. It means the structure has not yet been tested against the real economics of the transaction.

What the Case Can Support

The right financing direction depends on a combination of factors, including:

  • cash generation and repayment capacity;
  • tenor and timing;
  • security and asset quality;
  • existing obligations;
  • sponsor contribution and financial strength;
  • ownership objectives;
  • transaction risk and execution timing;
  • sector conditions and market appetite.

Assessment Creates Clarity

Assessment should help the client understand how these elements interact. Sometimes that process confirms the original preference. Sometimes it shows that a different structure may create a more credible route.

The important point is not to make the client prove that they already know which route is correct. The value lies in working that out together from the facts of the case.

Structure Before Market Engagement

Market engagement becomes more useful when the financing direction is coherent. That does not mean every detail has to be perfect before the first conversation with an advisor. It means the advisory process should help turn an initial objective into a clearer structure before the case is presented externally.

A Better First Step

If you have a serious project, acquisition, expansion or refinancing objective and are uncertain about the right capital structure, that uncertainty is a reason to begin the conversation – not a reason to delay it.

GM Financial Group can help examine what the case may realistically support and whether a viable route deserves further assessment.
